01Introduction

Authority Builder is a brand and operating name (DBA) of EP Management, Inc. By purchasing a membership, subscription, or any product or program offered by Authority Builder or EP Management, Inc., you agree to be bound by this Agreement. IF YOU DO NOT AGREE WITH THESE TERMS, YOU SHOULD NOT PURCHASE ACCESS TO ANY AUTHORITY BUILDER PROGRAM OR PRODUCT.

In these terms and conditions, "We/us/our" means EP Management, Inc., operating as Authority Builder. "You/your" means you as a user, member, or client of any Authority Builder program or product.

If you are not clear on the specific components, deliverables, or terms of the product or program you are purchasing, please contact us at support@authoritybuilder.io before completing your purchase. By completing your purchase, you confirm that you understand and agree to the terms of the specific program or product you are buying.

02The Service and Product — Authority Builder

Authority Builder is a done-for-you content and authority-building service. We help service-business owners, entrepreneurs, and professionals build their brand and presence by producing and distributing content on their behalf. Our services currently include, but are not limited to:

• Content recording and production — We record video and create supporting content with and for you, on a recurring basis, to be published to your social media and online channels.
• Content distribution and scheduling — Using our scheduling tools and authorized access to your accounts, we schedule and distribute the content we create to help build your presence and reach.
• Topic and prompt guidance — We provide you with relevant topics and prompts aligned to your objective to make your recording sessions easy and productive.

Each program has its own specific components, benefits, and pricing. If you are not clear on what is included in the program you are purchasing, please reach out to support@authoritybuilder.io prior to purchasing. Your purchase constitutes acceptance of the terms applicable to that product.

We reserve the right to add, modify, or discontinue any program, product, or service offering at any time.

03Book Publishing Clients — Order of Precedence

If you are a book publishing client, your book product is governed by a separate Licensing Agreement, which contains the specific terms, ownership, licensing, and territory provisions that apply to your book. Those book-specific terms control with respect to the book product. This Agreement governs your content recording, production, and distribution services. Where the two documents address the same subject, the Licensing Agreement controls as to the book, and this Agreement controls as to all other services. If you have not received or reviewed your Licensing Agreement, contact us at support@authoritybuilder.io before purchasing.

04Client Responsibilities — Scheduling and Participation

The success of this service depends on your participation. By purchasing, you acknowledge and agree that:

• It is your responsibility to schedule and to attend (show up for) your recording sessions. We will provide the means and availability to schedule, but the burden of booking and appearing for sessions rests with you.
• We will make all reasonable accommodations for changes to your scheduled times, rescheduling requests, or other adjustments to your sessions, subject to availability.
• There is no rollover of recordings. If you miss, skip, or do not complete the recordings allotted for a given month or billing period, we are not obligated to carry those recordings forward or to make them up, except in genuine hardship cases that we agree to in writing.
• We provide topics and prompts relevant to your objective for you to talk about. You are welcome to talk about whatever you wish; the topics are provided solely to make the process easier and more effective for you.

05Content Topics and Editorial Discretion

We provide topic and content suggestions as a courtesy to help guide your content toward your objective. You retain full latitude over what you choose to discuss.

We reserve the right, in our sole discretion, to decline to produce, publish, schedule, or distribute any content that we reasonably believe is harmful to us, to Authority Builder, to EP Management, Inc., or to any of our brands or affiliates; that is discriminatory, defamatory, unlawful, or otherwise inappropriate; or that exposes us to liability. Declining to publish such content does not entitle you to a refund or credit.

06Content Ownership and Access

You own the content we create for you. We will provide you with access to a folder or library where your content is made available to you.

You are responsible for downloading and retaining your own content. Upon the conclusion of your membership for any reason, you will have up to ninety (90) days to access the folder and download your content. After this 90-day period, we are no longer responsible for storing, retaining, providing, or recovering your content, and we may remove or delete it. We strongly encourage you to download and back up your content regularly throughout your membership.

07Social Media Scheduling Authorization

To distribute the content we create, you agree to grant us access — through our scheduling tools and the authorizations they require — to schedule and publish content to your social media accounts and pages.

You acknowledge and agree that:

• We can only schedule and publish to the extent permitted by each social platform. As an example, certain platforms (including Facebook) do not permit scheduling tools to post to personal profiles, but do permit scheduling to business pages. Where a platform does not allow third-party scheduling for a given account type, you understand that we cannot post on your behalf to that account, and you are responsible for providing access to a compatible account type (such as a business page) if you wish to have content distributed there.
• Social media platforms frequently change their rules, features, and permissions regarding what third-party tools are allowed to do. We are at the mercy of these changes and cannot control them. You understand that our ability to schedule, post, and distribute content is subject to whatever each platform allows at any given time.
• We will stay on top of leading and emerging tools and technologies and will use the capabilities available to us to present you in a positive light and to support the distribution of your content to the best of our ability within the platforms' rules.

You are responsible for maintaining your own accounts in good standing and for any consequences arising from your own account status, content, or conduct on these platforms.

08No Guarantee of Results — Consistency Commitment

We make no guarantee of any specific result, outcome, reach, engagement, lead volume, revenue, or business growth from this service. Results depend on many factors outside our control, including your participation, your market, your audience, your offer, the platforms, and your own follow-through.

What we do commit to is consistency. If you show up and remain consistent in recording and providing content, we will be as consistent as we reasonably can be in producing and distributing that content on your behalf. Consistency from us depends on consistency from you.

09Payment Policy

Your membership begins on the date payment is received, and access to your program and any associated benefits commences at that time. Payments may be made monthly (month-to-month) or annually via credit card, depending on the program you select.

Your subscription will automatically renew at the end of each term — monthly for month-to-month clients, and annually for annual clients — and you will be automatically charged on a recurring basis until you cancel in accordance with the cancellation terms below.

10Cancellation

You may cancel your membership by providing 30 days' written notice sent to support@authoritybuilder.io prior to your next scheduled billing date.

• For month-to-month clients, 30 days' written notice is required to cancel.
• For annual clients, 30 days' written notice prior to renewal is required to prevent the next annual term from renewing.

Failure to provide 30 days' notice may result in one additional billing cycle before cancellation takes effect. No refunds will be issued for charges already processed.

11Refund Policy

All sales are final. Once your account has been charged, there are no refunds, and you understand and agree to this completely. This applies to all programs and products regardless of usage, missed sessions, or unused recordings. If you believe a billing error has occurred, contact support@authoritybuilder.io within 5 business days of the charge.

If you have any doubts about whether a program is right for you, please do not purchase. Contact support@authoritybuilder.io with any questions before completing your purchase.

12Image, Likeness, and Testimonial Release

By joining any Authority Builder program and participating in recording sessions, you grant EP Management, Inc. a royalty-free, worldwide license to use your name, image, likeness, voice, and testimonials for the purpose of providing, marketing, and promoting our services and our work product, including the content we create for you and examples of our work. This release does not diminish your ownership of the content created for you as described in the Content Ownership and Access section above.

If you do not wish to be featured in our own marketing examples, it is your responsibility to notify us in writing at support@authoritybuilder.io.

13Relationship

Nothing in this Agreement shall be interpreted or construed to create a joint venture, partnership, employment, or agency relationship of any kind between you and EP Management, Inc.

14Modification

We may modify this Agreement from time to time without prior notice. You agree to be bound by the current terms of this Agreement as updated. When modifications are made, they will be posted to the Authority Builder website. You should review this Agreement regularly.

15Assignment

No assignment of this Agreement is permitted without our prior written permission. Any attempt to do so shall constitute a default and violation of this Agreement.

16Governing Law

This Agreement and any action related thereto shall be governed by the laws of the State of Texas without regard to its choice of law principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts of Denton County, Texas.

17Disputes

In the event that a dispute arises pursuant to this Agreement, either party may submit a written demand that the dispute be settled by binding arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in Denton County, Texas. The foregoing shall not prevent EP Management, Inc. from seeking injunctive relief in a court of competent jurisdiction.

18Force Majeure

If a party is prevented from fulfilling its obligations under this Agreement due to circumstances beyond its reasonable control — including but not limited to fire, flood, war, strike, government regulation, changes to third-party platforms, or acts of third parties — the time for performance will be extended accordingly. You will not be excused from payment of any sums owed to EP Management, Inc. If a force majeure event cannot be resolved within thirty (30) days, either party may terminate this Agreement.

19Intellectual Property

The content we create for you is owned by you as described above. All other materials, systems, processes, tools, templates, and methods provided as part of any Authority Builder program are proprietary to EP Management, Inc. and may not be duplicated, reproduced, published, or displayed without prior written permission. All Authority Builder and EP Management, Inc. trademarks, logos, and service marks are protected under U.S. and international intellectual property laws. Nothing in this Agreement grants you any license or right to use EP Management, Inc. trademarks or proprietary content.

20Privacy

Your personal data will not be sold to third-party vendors. You agree that we may use the work product we create for you, along with your testimonials and results, as examples for the promotion of Authority Builder services, consistent with the Image, Likeness, and Testimonial Release section above.

21Damage Waiver

Under no circumstances shall either party be liable to the other for any incidental, consequential, indirect, special, exemplary, punitive, or other damages under this Agreement. EP Management, Inc.'s total liability to you for any cause whatsoever shall be limited to the amount paid by you to EP Management, Inc. for the applicable program or service during the term of your enrollment.

22Indemnity

You agree to indemnify, defend, and hold harmless EP Management, Inc., its subsidiaries, affiliates, officers, managers, employees, agents, and representatives from any claims, liability, damages, losses, costs, and expenses — including legal fees — arising out of your use of any Authority Builder program or service, any breach of this Agreement, the content you choose to record or publish, or your social media accounts and conduct.

23Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

24Entire Agreement

This Agreement, together with any applicable Licensing Agreement for book clients, represents the entire understanding between the parties regarding the programs and products purchased. All prior agreements, representations, or understandings are superseded by this Agreement. You may request a copy of this Agreement at any time by emailing support@authoritybuilder.io.
